This agreement was signed on (Date) between Party A and Party B whereas Party A shall employ Party B to be its sales representative for the sales of its products. Both parties have herein agreed as follows:-
1. This agreement is agreed upon sincere mutual cooperation, principles of mutual developments and friendly consultations.
2. Party B must be a legitimate citizen and have reached the age of 18, legally eligible for sales activities. For expatriate, valid personal documents shall be required.
3. Party B shall provide accurate personal data and fill in the application form accordingly. Party B shall perform in accordance with the relevant procedures set by Party A, and shall become an employee of Party A after verification of the data provided.
4. Party B shall carefully read this agreement and understand all the regulations stipulated by Party A; Party B shall have a high perception and loyalty to Party A’s business philosophy, and willingly abide by the rules and regulations.
5. Party A shall give commission of x% on total sales amount to Party B for products sold, payable after accounts settled. Party B shall be responsible for the bill collections and Party A shall provide technical and maintenance supports to Party B in the operations.
6. In order to expand market share, Party A shall act in concert with Party B by providing authorized identification, promotional literatures and detailed descriptions of company’s series of products.
7. Party A shall provide professional trainings in terms of marketing, sales mind-set, sales techniques and sales concepts to Party B as well as all the promotion plans, promotion items, sales policy and reward systems.
8. Party B shall be responsible for the gathering and analysis of local market information, and report to Party A timely and accurately.
9. Both Parties shall lawfully abide by the regulations set by the legal and national labor departments. Party B shall strictly carry out the market protection policy, strictly prohibit to mark-up and mark-down prices in malice to disturb the market, otherwise Party A shall disqualify Party B from selling.
10. Party B shall duly inform Party A of any changes in personal information, otherwise Party A shall not be responsible for any loss in sales income or rewards of Party B.
11. In the event of company unable to operate normally due to force majeure or unforeseeable factors, Party A shall try its best to remedy but shall not assume any responsibility.
12. Any unspecified matters shall be resolved amicably by mutual consultations.
13. This agreement shall be effective for one year. It can be resumed after the expiry date.
14. This agreement is in triplicate. Party A, Party B, and the local franchisee shall hold one copy each; all are legally valid signed hereinafter.

6, to be advantageous for the second party to develop the market, the first party must provide the effective credential and the company publicity material, the company seriation product detailed instruction booklet to the second party, and coordinates the second party to finish the sale services.
7, the second party may enjoy each kind of promotion plan which first party provides, the promotion, businessmen are invited to open companies policy and each reward policy, and has the first party specialization market training, curricula and so on marketing point of view, skill, idea trains.
8, the second party have the responsibility to collect and to analyze local for the first party the market information, and prompt accurate provision for the first party.
9, the armor, second grade both sides must observe the country Labor department and the legal related stipulation, cannot make the behavior which breaks the law, and fulfils exactly first party's market protection policy, refuses the evil intention to reduce prices, to raise prices, to harass the market, otherwise the first party will deprive the second party qualifications.
10, like second party individual material has any change, should inform the first party promptly, otherwise creates from the second party achievement income reduces or has not been able to take losses and so on bonus voluntarily to undertake by the second party, has nothing to do with the first party.
11, because if the irresistible strength, cannot forecast that the factor creates when the company cannot operate normally, when the first party with every effort recovers, but does not undertake any responsibility.
12, the above provision like have the completely matters concerned, both sides have not been possible to consult decide.
13, this agreement term of validity is one year, after expiring, may continue the bamboo slip.
14, this agreement type three, the first party, the second party and the local alliance shop holds one respectively, after the signature becomes effective, and has the same level legal effect.
